We have a single 3.1.0 deployment (under ESXi 5.0) monitoring 600 devices, and it works damn near flawlessly.
Is there any reason to seriously consider an upgrade to 4.2 or 5.0 None of the new features grabbed my attention as being attractive enough to motivate me to consider an upgrade.
I am generally a firm believer in "If it ain't broke, don't fix it" - but I like to at least try to keep my eyes open.

IMHO you need upgrade:
- if you have performance issues
- if you need supported Zenoss version
- if you need some feature from newer version
- if you need some patching management (zenup)
- if you are not able to fix security problems in older version
- if you are not going to have a time for potential 2+ generation upgrade in the future (1 generation upgrade will be probably well documented, maybe 2+ generation upgrade can be a problem or will be unavailable)

A word on upgrades. Migration from 4.2.5 > 5.1 will be provided late this year. We have guaranteed this to a customer, so it _WILL_ ship and will be available to the community.
Migration instructions from 3.x to 4.x are available online. It's my opinion that 4.x is more stable, but I'm sure I'll be accused of being biased :)
