Hello,
I am rather new to Zenoss as well as somewhat new to Linux. I am tasked though with upgrading our Zenoss from 3.2.1.
Here are a couple of questions i would like to get answered:
1. Is there a way to backup all the settings and import them into the new build (like collectors etc)
2. Is there an easy way to get a server up to date and running correctly I am thinking i will clone the one we have and update it from there.
3. Is there a way to run this on a Windows Server vs running it on Linux
4. Any other hints, tips or tricks you may be able to provide in upgrading to 5.X

I would recommend taking and confirming you have a good backup first.
Migration from 4.x to 5.x is not supported yet.

To try and answer some of your questions....
1) zenbackup / zenrestore backs up "important files", your configuration database, your events database and your performance database; however, moving from Zenoss 3.x to 4.x your events will not restore as the event architecture changed very significantly. Your performance data will probably be fine. Your mileage may vary with configs (devices, networks, processes, etc).
1.5) Do you really want to take everything from your existing environment
1.6) Another option might be to use a mixture of zenbatchdump / zenbatchload which exports / imports devices, device classes, groups, systems and locations via a CSV file. Migration ZenPacks are also sometimes helpful if you want to take part of your old configuration to a new build.
2) You will need to build a new environment - I suggest 4.2.5 with zenup (the patching system) and ZUP 457 (latest patch for Zenoss Core 4.2.5)
3) Nope - you can only run Zenoss on Linux. CentOS 6 would be a good choice with Zenoss 4.2.5
4) Zenoss 5 - don't go there yet. Not yet ready for production. No migration path from earlier Zenoss.
